MiniMax Audio Music Creation Terms of Use

Welcome to the music feature of MiniMax Audio Music Creation (“we” or “us”). We provide users (“you” or “User”) with access to various tools, including AI-generated music, and AI-generated lyrics (collectively, the “Feature”). Please carefully read these MiniMax Audio Music Creation Terms of Use (the “Terms”) before using the Feature. By clicking to accept or otherwise affirming your agreement to these Terms, along with the MiniMax App and Website Terms of Service (collectively, the “Service Agreements”), you acknowledge and agree to be bound by them. You must continue to comply with these Terms and the Service Agreements while using the Feature. Together, we aim to maintain a safe, positive, and creative online environment.

I. Rules of Use

  1. Content Ownership and Authorization You acknowledge, represent, and warrant that any and all content you input, submit, upload, or publish when using MiniMax Audio or the Feature—including but not limited to text, images, audio, video, and any other content and its components, such as lyrics, music, voices, and works (collectively, the “Input Content”)—is either your original work or that you have obtained all necessary, valid, and lawful rights, licenses, or permissions. You or your authorized third party shall retain all intellectual property rights, ownership, rights of publicity (including voice rights), data rights, and/or any other lawful interests in the Input Content. Your Input Content must not infringe upon the intellectual property, personal rights, data, trade secret, or other legal rights of any third party. You are solely responsible for any risks associated with your Input Content.
  2. Voice Data and Consent If your Input Content includes any individual’s voice, you must have full legal rights or obtain appropriate authorization from the rights holder to use such voice content. You may not submit voice data without necessary permissions. If you fail to obtain such permissions, you are solely liable for any consequences for using such data without proper authorization. We may analyze voice characteristics in your Input Content to support the functionality of the Feature, but we will not use such data to identify any specific individual.
  3. Prohibited Uses You agree to use MiniMax Voice, the Feature, and all Input Content and generated or output content (“Output Content”) only for lawful purposes. You may not use the Feature or any content for any unlawful or prohibited purpose or in any way that infringes the rights of others. Prohibited uses include, but are not limited to: (1) Harming or defaming another person; (2) Damaging another person’s reputation; (3) Impersonating any person or misrepresenting affiliation; (4) Insulting or disparaging others; (5) Engaging in offensive behavior, libel, mockery, or defamation; (6) Infringing the rights or harming the well-being of minors; (7) Spreading false or misleading information; (8) Engaging in conduct prohibited under the Service Agreements; (9) Any other conduct in violation of applicable laws or that infringes others' legal rights. If you engage in any prohibited conduct or use the Feature for any prohibited purpose, you will bear full responsibility and liability. If such conduct results in damage to us, you agree to indemnify and compensate us accordingly.
  4. Content Moderation and Enforcement If we determine that any Input Content or Output Content violates applicable laws, these Terms, or the Service Agreements, we reserve the right to take enforcement actions, including deleting, blocking, or refusing to process such content. We may also take actions against your account, including suspension or termination. If you become aware that your Input or Output Content violates these Terms, you must promptly delete or modify the content to prevent further use or dissemination and notify us immediately.
  5. Markings and Notices on Output Content You acknowledge and agree that, to comply with legal requirements or clarify rights and restrictions associated with Output Content, we may embed identifiers or watermarks in such content. When you view, export, or download Output Content, we may display prominent notices informing you of the applicable usage restrictions. Unless otherwise authorized, you may not alter or remove these identifiers. You are also responsible for clearly labeling AI-generated Output Content in your use to avoid misleading others. You assume full liability for any consequences resulting from failure to provide appropriate notice.
  6. Disclaimer of Warranties The Output Content is generated by underlying technical models. While we make efforts to improve our algorithms, limitations in current technology mean we cannot guarantee the accuracy, suitability, reliability, or completeness of the Feature or its outputs. You understand and agree that we make no warranties regarding such aspects and disclaim any liability for your use of the Feature or Output Content. You shall not make any claims against us arising from your reliance on the Feature or Output Content.

II. Service Updates and Feedback

  1. Service Modifications We may continue to improve the Feature and may revise these Terms and the Service Agreements as necessary. Any changes will be posted on the Feature interface. If you do not agree with the changes, you must discontinue use of the Feature. By continuing to use the Feature, you will be deemed to have accepted the updated Terms.
  2. Feedback We welcome your feedback to help us improve the Feature. We also take the protection of intellectual property and personal rights seriously. If you believe that the Feature or another user’s use of the Feature infringes your legal rights, please contact us at contact.audio@minimax.io, and provide proof of your rights and relevant evidence of the alleged infringement. We will promptly review and address the issue, including taking necessary actions such as deleting or blocking the infringing content.
